General Terms

Intellectual property

AuditLattice retains all rights, title, and interest in the platform, curriculum assets, templates, and documentation provided through the service unless a written agreement explicitly transfers ownership. You receive a limited, non-exclusive license to use materials for internal training and evidence preparation aligned to your subscription. You may not resell course packs, remove attribution notices, or use materials to train competing offerings without written consent. If you provide feedback, you grant AuditLattice permission to incorporate that feedback without obligation to compensate you, except where prohibited by applicable law in Japan. You represent that any materials you upload do not infringe third-party rights and that you have authority to share them for the limited purpose of facilitation.

Governing law and disputes

These terms are governed by the laws of Japan, without regard to conflict-of-law rules that would apply another jurisdiction. Courts located in Tokyo, Japan, shall have exclusive jurisdiction over disputes arising from or relating to these terms, subject to any non-waivable rights you may have as a consumer. If a provision is held unenforceable, the remaining provisions remain in effect. You agree to attempt good-faith resolution through hello@mind-center.one before initiating formal proceedings, where such a step is reasonable under the circumstances. Nothing in this section limits mandatory consumer protections that cannot be waived under Japanese law.

User obligations

You agree to provide accurate registration information, keep credentials confidential, and use the platform in a manner consistent with applicable laws and your internal policies. You will not attempt to probe, disrupt, or circumvent security controls, nor upload unlawful content, malware, or sensitive customer data unless a specific engagement explicitly permits it under written controls. Administrators are responsible for removing access for departing employees promptly. You remain responsible for decisions made using training outputs, including how evidence is presented to external reviewers. You will not misrepresent affiliations with AuditLattice or imply endorsements without written approval.

Termination

Either party may terminate an engagement according to the order form or subscription agreement. We may suspend access immediately if we reasonably believe your use endangers the service, violates law, or breaches these terms. Upon termination, your right to access materials ceases except for records you lawfully retained prior to termination. Sections that by their nature should survive—including limitations, intellectual property, and governing law—will survive termination. Where a cohort has started, termination may be handled according to the Cancellation Policy instead of a simple cutoff.

Service description

AuditLattice provides educational content, facilitation guides, templates, and related materials aimed at improving quality standards alignment and operational readiness. Unless expressly stated in a separate statement of work, we do not provide legal advice, external reviewer representation, or hands-on system administration. Delivery formats may include live sessions, asynchronous modules, or blended experiences as purchased. Features may evolve; we will provide reasonable notice of material changes that affect your purchased scope where contractually required. Service levels, if any, are defined in the applicable order form rather than inferred from marketing pages.

Liability

To the maximum extent permitted by applicable law, AuditLattice is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data arising from use of the service. Our aggregate liability for claims arising out of or related to the service during any twelve-month period is limited to the fees you paid to AuditLattice for the service during that period, except where limitation is prohibited for consumers under Japanese law. These limitations apply even if a remedy fails of its essential purpose. Training improves readiness but does not guarantee outcomes with external reviewers or certification bodies.

Acceptance

By accessing the platform or signing an order form, you accept these terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization. We may update these terms to reflect operational, legal, or product changes. When updates are material, we will post the revised terms with a new last updated date and, where required by contract, provide additional notice. Continued use after the effective date constitutes acceptance of the updated terms to the extent permitted by law. If you do not agree, you must stop using the service and contact us to close accounts.
